Terms of Service

1. Introduction

These Terms and Conditions ("Terms") govern your use of the CatchMetrics platform and services provided by CatchMetrics Ltd, a company registered in England and Wales (Company Number: 15423136) with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom ("we", "us", or "our").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

2. Services

CatchMetrics provides real user monitoring (RUM) and third-party script performance analysis services. Our platform offers:

Core Web Vitals monitoring (LCP, INP, CLS)
Third-party script performance analysis
Model Context Protocol (MCP) integration
Performance optimization insights

3. Service Plans

Free Plan: $0 per month, includes up to 10,000 pageviews per month with 30-day data retention.

Pro Plan: $199 per month, includes up to 500,000 pageviews per month, MCP support, priority support, and 60-day data retention.

Enterprise Plan: Custom pricing available upon request with custom pageviews, data retention, SAML/SSO, and enterprise support.

4. Definitions

"Pageview" means a single page load event tracked by our monitoring script, excluding bot traffic and automated requests.

"Services" means the CatchMetrics platform, monitoring scripts, APIs, and related services.

"Customer Data" means performance data collected from your website(s) using our Services.

"Account" means your CatchMetrics account and associated credentials.

5. Payment Terms

Paid subscriptions are billed monthly in advance via credit card or other approved payment methods. All prices are in US Dollars (USD) and exclude VAT unless otherwise stated. VAT will be added where applicable based on your location.

Subscriptions automatically renew unless cancelled before the renewal date. We reserve the right to change prices with 30 days' notice. If payment fails, we will retry for up to 7 days before suspending your account.

Refunds: No refunds are provided, but you may cancel future renewals at any time.

Overage: If you exceed your plan's pageview limit, we will notify you and monitoring will stop shortly after, resuming at the next billing cycle.

6. Data Collection and Privacy

We collect performance monitoring data from websites using our service. This data is used solely for providing our monitoring and analysis services. We do not collect personally identifiable information about your website visitors. For full details, please see our Privacy Policy.

Data Processing: When you use our Services to monitor websites, we act as a data processor and you act as the data controller under GDPR. You are responsible for:

Having a lawful basis for any data collection
Providing appropriate privacy notices to your users
Ensuring our script implementation complies with your privacy policy
Responding to data subject requests

Data Processing Agreement: By using our Services, you agree to the following data processing terms:

We will only process data on your documented instructions
We ensure our staff are subject to confidentiality obligations
We implement appropriate technical and organizational security measures
We will assist you in responding to data subject requests where possible
We will delete or return all personal data upon termination of services
We will make available information necessary to demonstrate compliance

Sub-processors: We use the following sub-processors: cloud hosting providers (AWS/Google Cloud), payment processors (Stripe). We will notify you of any changes to sub-processors.

8. User Responsibilities

You are responsible for:

Properly implementing our monitoring script
Ensuring you have the right to monitor the websites you add to our platform
Complying with all applicable laws and regulations
Maintaining the security of your account credentials

9. Acceptable Use Policy

You agree not to use our Services to:

Monitor websites without proper authorization
Collect personal data without appropriate legal basis
Interfere with or disrupt our Services or servers
Attempt to gain unauthorized access to any systems
Use the Services for any unlawful purpose
Resell or redistribute our Services without permission

10. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You use the Services at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless CatchMetrics Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Services
Your violation of these Terms
Your violation of any rights of another party
Your violation of any applicable laws

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATCHMETRICS LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES.

Our total liability to you for all claims arising out of or relating to these Terms or our services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

13. Service Availability

While we aim for high availability, we do not guarantee uninterrupted service. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

14. Intellectual Property

All rights, title, and interest in our services, including all intellectual property rights, remain with CatchMetrics Ltd. You are granted a limited, non-exclusive, non-transferable license to use our services according to these Terms.

15. Termination

You may terminate your account at any time. We may terminate or suspend your account for breach of these Terms or for any other reason with reasonable notice. Upon termination, your performance data will be deleted according to our data retention policies. Account information may be retained for up to 7 years for legal and accounting purposes.

16. Dispute Resolution

We aim to resolve disputes amicably. If you have a dispute, please contact us first at [email protected]. If we cannot resolve the dispute within 30 days, either party may pursue the following:

For claims under £10,000, the dispute should be submitted to the UK Small Claims Court. For larger claims, parties agree to attempt mediation before litigation. If mediation fails, disputes shall be resolved in the courts of England and Wales.

17. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

19. Age Restrictions

You must be at least 18 years old or the age of majority in your jurisdiction to use our Services. By using our Services, you represent that you meet this age requirement.

20. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our platform. Continued use of our services after changes constitute acceptance of the new Terms.
